1. Acceptance of Terms

By accessing and using the services of ATWIAS Info Solutions Private Limited, you agree to be bound by these Terms and Conditions. These terms govern your use of our website, services, and any related content provided by ATWIAS.

2. Services Description

ATWIAS provides the following services as described on our website:

  • Website Design & Development: HTML, WordPress, Laravel/PHP, CMS, UI/UX Design, E-commerce Solutions
  • Tech Integration Services: Sales Automation, Chat Bot Development, AI & ML Solutions, SAAS Development, Process Automation
  • Graphic Design Services: Logo Design, Brochure Design, Event Design, Print Materials, and Outdoor Advertising Design
  • Mobile App Development: Android, iOS, and Flutter Applications

Service details, timelines, and deliverables will be specified in individual project proposals and service agreements.

3. Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete information necessary for project execution
  • Make timely decisions and provide feedback during project milestones
  • Provide access to necessary materials, brand assets, and credentials
  • Adhere to agreed payment schedules
  • Use delivered services and products in compliance with applicable laws

4. Intellectual Property Rights

4.1. Pre-existing Intellectual Property

Each party retains ownership of their pre-existing intellectual property.

4.2. Developed Intellectual Property

Upon full payment, ownership of the developed work (websites, designs, code, etc.) transfers to the client, except for:

  • ATWIAS proprietary frameworks, tools, and methodologies
  • Third-party components with separate licenses
  • Open-source software used in development

4.3. Licensing

ATWIAS may retain the right to display completed work in our portfolio and marketing materials.

5. Confidentiality

Both parties agree to maintain the confidentiality of:

  • Business strategies and plans
  • Proprietary technologies and processes
  • Financial information
  • Client data and user information
  • Any information marked as confidential

Confidentiality obligations survive termination of services.

6. Limitation of Liability

ATWIAS's total liability for any claim shall not exceed the total fees paid by the client for the specific service in question. We shall not be liable for:

  • Indirect, consequential, or incidental damages
  • Loss of profits or business opportunities
  • Data loss or corruption
  • Third-party actions or service interruptions

7. Termination

Either party may terminate services with written notice if:

  • The other party breaches material terms and fails to cure within 30 days
  • The other party becomes insolvent or bankrupt
  • Mutual agreement is reached

Upon termination, the client shall pay for all services rendered up to the termination date.

8. Warranties

ATWIAS warrants that:

  • Services will be performed with reasonable skill and care
  • Deliverables will conform to agreed specifications
  • We have the right to provide the services

All other warranties, express or implied, are disclaimed to the fullest extent permitted by law.

9. Third-Party Services

Our services may integrate with or depend on third-party services (Google, Facebook, hosting providers, etc.). We are not responsible for:

  • Third-party service availability or performance
  • Changes to third-party APIs or policies
  • Costs associated with third-party services

10. Data Protection and Privacy

We handle client data in accordance with our Privacy Policy and applicable data protection laws. By using our services, you consent to our data practices as described in our Privacy Policy.

11. Amendments

ATWIAS reserves the right to modify these Terms and Conditions at any time. Updated terms will be posted on our website. Continued use of our services constitutes acceptance of revised terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu.

Parties agree to attempt informal resolution of disputes before pursuing formal legal action.
